Beat License Agreement — BASIC (MP3 Lease)

Non-Exclusive License

This Beat License Agreement ("Agreement") is a legally binding contract between the Producer and the Licensee named below governing use of the licensed instrumental ("Beat"). By purchasing, downloading, or using the Beat, the Licensee agrees to all terms below.

1. Grant of License

Subject to full payment of the Fee, the Producer grants the Licensee a non-exclusive, non-transferable, worldwide licence to use the Beat to record one (1) new derivative musical composition ("New Song") incorporating the Licensee's original vocals or musical elements, within the limits set out in Section 3.

2. Delivery

The Producer will deliver the Beat as a tagged and/or untagged MP3 (320 kbps) file to the Licensee's email address or via a download link, following receipt of payment.

3. Usage Limits

The following limits apply to the New Song created with the Beat:

  1. Distribution copies: up to 2,000 total copies (downloads and/or physical units) may be distributed and/or sold.
  2. Audio streams: up to 50,000 total non-monetized or monetized audio streams across all platforms combined.
  3. Music videos: up to 1 monetized music video.
  4. Radio broadcast: airplay permitted on up to 2 radio stations.
  5. Monetization: the New Song may be monetized (e.g. sold, streamed, and monetized on YouTube/streaming platforms) and used for non-profit purposes, within the numerical limits above.
  6. Live performances: permitted for non-profit and profit performances by the Licensee.

If the Licensee's usage exceeds any of these limits, the Licensee must upgrade to a higher-tier licence (WAV, Unlimited, or Exclusive) or obtain written permission from the Producer. Continued use beyond the limits without an upgrade is a breach of this Agreement.

4. Producer Credit (Mandatory)

The Licensee must credit the Producer in the New Song's metadata, title, and/or description in a commercially reasonable manner, using the form:

"Prod. by Alek / Foster House Studios"

5. Ownership and Reservation of Rights

  1. The Beat, including its underlying composition, arrangement, and sound recording, remains the sole and exclusive property of the Producer. This Agreement grants a licence to use the Beat and does not transfer ownership or copyright.
  2. Because this licence is non-exclusive, the Producer retains the right to continue to use, sell, license, and distribute the same Beat to any number of other licensees, on the same or different terms, at any time.
  3. The Producer retains 100% of the publishing and master rights in the Beat itself. Ownership of the Licensee's original vocals/lyrics added to the New Song remains with the Licensee.

6. Restrictions

The Licensee may not:

  1. resell, re-license, lease, sub-license, transfer, or redistribute the Beat itself (as a standalone instrumental or in any form that allows others to make their own songs from it);
  2. register the Beat (or the New Song's instrumental) with any Content ID, digital fingerprinting, or rights-management system (e.g. YouTube Content ID) in a way that claims ownership of the Beat or blocks the Producer or other licensees;
  3. claim authorship of, or copyright in, the Beat;
  4. use the Beat for any unlawful, defamatory, hateful, or infringing purpose;
  5. use the Beat in a trademark, logo, or as a sonic brand identity without a separate written agreement.

7. Term and Termination

  1. This Agreement takes effect on the Effective Date and continues for a term of [10 years], renewable by mutual agreement, unless terminated earlier under this Section. [Edit term to your preference; some producers use a perpetual term for lease tiers.]
  2. The Producer may terminate this Agreement immediately upon written notice if the Licensee breaches any term (including exceeding the usage limits, failing to credit, or non-payment). Upon termination for breach, the Licensee must cease all use of the Beat and remove the New Song from distribution.
  3. Sections 4, 5, 6, 8, 9, and 10 survive termination.

8. Payment and Refunds

The licence is granted only upon receipt of the full Fee. Because the Beat is a digital good delivered immediately, all sales are final and non-refundable once the file has been delivered, except where required by mandatory consumer-protection law.

9. Warranty and Liability

The Producer warrants that they are the creator and owner of the Beat and have the right to grant this licence. The Beat is otherwise provided "as is". To the maximum extent permitted by law, the Producer's total liability under this Agreement is limited to the amount of the Fee paid. Nothing limits liability for intent, gross negligence, or injury to life, body, or health.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the CISG. The place of jurisdiction, to the extent legally permissible, is Berlin, Germany.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Beat and supersedes any prior understanding. Amendments must be in writing.
